SUBMISSION TERMS & CONDITIONS

By submitting your materials or creative works (“Materials”) for consideration and review by WME Books (“WME”), you are acknowledging and agreeing to the following Submission Terms & Conditions and Arbitration provisions (“Submission Terms & Conditions”):

WME has an established policy of refusing to accept or evaluate creative works absent your agreement to these Submission Terms & Conditions. By submitting your Materials to WME, you have agreed to be bound by these Submission Terms & Conditions.  

  • WME is not required to review your Materials, nor is WME required to take actions to keep them confidential.

  • In the course of our business dealings, WME and WME clients may create, and may receive, content which is similar to certain elements of your Materials.  For the avoidance of doubt, your permission is not required, nor will you be entitled to credit or compensation, for any use of content that is not legally protected by copyright or that was conceived independently of the Materials.

  • You are the sole owner and/or author of the Materials and you have the exclusive right and authority, without the consent of any other party, to submit them to WME.

  • You release WME from any and all liability for loss of, or damage to, the copies of the Materials submitted.

  • The words “WME” or “WME Books” refers to WME IMG, LLC, William Morris Endeavor Entertainment, LLC, IMG Worldwide, LLC, IMG Worldwide Holdings, LLC, and Endeavor Group Holdings, Inc. and each of their former, current and future subsidiaries, affiliates, divisions, parents, equity holders, predecessors, successors and assigns, and all of their current, former and future officers, shareholders, members, partners, principals, investors, owners, directors, trustees, joint venturers, insurers, attorneys, employees, and agents (in their official and individual capacities). If Materials are submitted by more than one person, or by an entity, the words “you” or “your” shall refer to all such persons or entities, and this release will be binding jointly and severally upon all such persons or entities.

  • You have read and understand these Submission Terms & Conditions and acknowledge that they set forth the entire agreement between WME and you relating to the Materials, and that by submitting your Materials to WME, you are relying on the language in these Submission Terms & Conditions and not on any other representations or warranties, express or implied. If any provision of these Submission Terms & Conditions is held to be invalid, void or unenforceable for any reason, the balance will  nevertheless remain in full force and effect in all respects.

  • You acknowledge and agree to be bound by the Terms of Use, Privacy Policy and Cookie Policy of this website.

  • ARBITRATION: These Submission Terns & Conditions shall be governed by and construed in accordance with the laws of the State of New York without regard to its choice of law rules. Any dispute arising out of or in connection with the Materials or these Submission Terms & Conditions (including any dispute relating to the scope of these Arbitration provisions) will be resolved in final and binding arbitration before a single neutral arbitrator, who shall be a retired judge of a state or federal court and experienced and knowledgeable in the entertainment industry. The arbitration shall be initiated and conducted according to either the JAMS Streamlined (for claims under $250,000) or JAMS Comprehensive (for claims over $250,000) Arbitration Rules and Procedures then in effect at the New York office of JAMS or its successor. Except as otherwise stated herein, the arbitrator shall be bound by the substantive rules of law imposed by the law of the State of New York and the United States of America, and shall not have the jurisdiction to alter these Submission Terms & Conditions or to award punitive damages or injunctive relief. The award in any such arbitration shall be final and binding and may be confirmed by any court of competent jurisdiction. The costs and expenses of arbitration, including reasonable attorneys’ fees and the costs of expert witnesses, shall be borne by the losing party.

  • If an arbitration determines that WME or WME clients have used any portion of the Materials which is legally protected by copyright, your award will be limited to a monetary amount up to the fair market value, as of the date of your submission, of the non-exclusive right to use the Materials for similar use. You will not be entitled to  credit or additional compensation for use of the Materials. You acknowledge that the monetary award provided is an adequate remedy to redress any harm you may suffer as a result of alleged use of elements of the Materials that are protected by copyright, and that you are not entitled to seek or receive injunctive relief or otherwise interfere with or prevent publication or other exploitation of any work which may include such elements of the Materials.

  • For any claim relating to the Materials or these Submission Terms & Conditions, give written notice by registered mail to WME, General Counsel, 11 Madison Avenue, 18th Floor, New York, NY 10010, within 90 days after you first acquire knowledge of such claim, or if sooner, within 90 days after you acquire knowledge of facts sufficient to put you on notice of such claim. Your failure to give WME such written notice before the expiration of such period will constitute an irrevocable waiver, relinquishment, and release of any rights, remedies, or causes of action you may otherwise have with respect to such claim.
